1. Acceptance of Terms

By accessing and using the services provided by BYOWLS UKRAINE LLC, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.

2. Services Description

BYOWLS UKRAINE LLC provides Google Ads management and digital marketing services. Our services include but are not limited to:

• Google Ads campaign creation and management
• Search, Display, Shopping, and Video advertising
• Campaign optimization and performance tracking
• Strategic planning and consultation
• Analytics and reporting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for campaign setup and management
• Maintain an active Google Ads account with sufficient budget
• Grant necessary access permissions for campaign management
• Comply with Google Ads policies and advertising guidelines
• Provide timely feedback and approvals when requested

4. Payment Terms

Payment terms will be outlined in individual service agreements. Generally:

• Management fees are separate from Google Ads spend budget
• Invoices are issued according to agreed payment schedule
• Payment is due within the timeframe specified in invoice
• Late payments may result in service suspension

5. Service Modifications

BYOWLS UKRAINE LLC reserves the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that may affect your campaigns.

6. Intellectual Property

All strategies, reports, and materials created by BYOWLS UKRAINE LLC remain our intellectual property. Clients receive a license to use these materials for their business purposes during and after the service period.

7. Confidentiality

We maintain strict confidentiality regarding client information, campaign data, and business strategies. We will not disclose confidential information to third parties without explicit consent, except as required by law.

8. Limitation of Liability

BYOWLS UKRAINE LLC provides professional services to the best of our ability. However:

• We cannot guarantee specific results or ROI from advertising campaigns
• We are not liable for changes in Google Ads policies or platform functionality
• Our liability is limited to the fees paid for services in the preceding three months
• We are not responsible for client's Google Ads account suspensions due to policy violations

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

• All outstanding fees must be paid
• Client retains ownership of their Google Ads account and data
• We will provide final reports and transfer necessary information
• Confidentiality obligations continue after termination

10. Governing Law

These terms are governed by the laws of Ukraine. Any disputes will be resolved through negotiation or, if necessary, through appropriate legal channels in Ukraine.

11. Changes to Terms

We reserve the right to update these terms at any time. Clients will be notified of significant changes. Continued use of our services after changes constitutes acceptance of the updated terms.
